Limited şirket müdürlerinin sorumluluğu, 6672 sayılı TTK da olduğu gibi, 6102 sayılı TTK'nda da anonim şirkete ilişkin sorumluluk hükümlerine atıf yapılarak düzenlenmiştir. Gerçektende, TTK m. 644 fıkra 1 bent a hükmü açıkça, anonim şirketlere ilişkin sorumluluk hükümlerinin limited şirketlere de uygulanacağını, hüküm altına almıştır. Anılan madde göre "yönetim kurulu üyelerinin, yöneticilerin ve tasfiye memurlarının sorumluluğunu düzenleyen 553 üncü maddenin limited şirket müdürlerinin sorumluluğunda da geçerli olduğu açıkça benimsenmiştir Çalışmada, sadece müdürlerin hukuki sorumluluğu, anonim şirket yönetim kurulu üyelerininsorumluluklarına ilişkin hükümler çerçevesinde ele alınacaktır.

The responsibility of the manager in limited companies is regulated in TCC (Turkish Commercial Code) numbered as 6102 via referring to the responsibility provisions regarding to joint stock companies as it was in the TCC numbered as 6672. Indeed, TCC art. 644, clause 1, subparagraph a, clearly ensures that the responsibility provisions regarding to joint stock companies shall be applied to limited companies as well. According to the aforementioned article, it was clearly adopted that the article 553 which regulates the responsibility of the members of the board of directors, managers and liquidators shall be valid for limited company manager's responsibility. In this study, only manager's legal responsibility will be discussed pursuant to the provisions regarding to responsibilities of the board of directors' members of joint stock company.
