Türk ticaret kanunu’nun kurumsal yönetim ilkelerine iliskin düzenlemelerinin sermaye piyasası kurulu tarafından yayımlanan kurumsal yönetim ilkeleriyle uyumunun karsılastırmalı olarak analizi
Kurumsal yönetim; bir sirketin yönetimi, yönetim kurulu, pay sahipleri ve diger paydaslar arasındaki bir dizi iliskiyi kapsar. Sirketin hedeflerinin belirlendigi bir yapıyı ortaya koyarak bu hedeflere nasıl ulasılacagının ve performansının nasıl denetleneceginin esaslarını belirler. Ülkemizde SPK Kurumsal Yönetim Ilkelerini belirlemistir. Ilkeler; pay sahipleri, kamuyu aydınlatma ve seffaflık, menfaat sahipleri, yönetim kurulu olmak üzere dört ana bölümden olusmustur. Ilkelerde yer alan ana kurallar “uygula, uygulamıyorsan açıkla” temeline dayanmaktadır. Bunlardan bazıları ise tavsiye niteligindedir. Tavsiye niteligindeki ilkelere uyulmadıgı zaman bunlarla ilgili herhangi bir açıklanma yapılmasına da gerek bulunmamaktadır. 6102 sayılı yeni Türk Ticaret Kanununda da kurumsal yönetim ilkeleriyle iliskili dogrudan veya dolaylı olarak düzenlenmis maddeler bulunmaktadır. Kurumsal yönetim ilkelerinin esitlik, seffaflık, hesap verilebilirlik ve sosyal sorumluluk ilkelerine yönelik uygulamayı yönlendiren, pay sahipleriyle, seffaflık ve hesap verilebilirlikle, yönetim kurullarının sorumluluklarıyla ve diger menfaat sahiplerinin haklarıyla ilgili birçok madde bulunmaktadır. Bu makalede TTK düzenlemeleriyle SPK ‘nın düzenledigi kurumsal yönetim ilkelerinin örtüsüp örtüsmedigi analiz edilmistir.
The comparitive analysis of the harmony of the Turkish commercial code regulations related to corporate governance principles with the corporate governance principles issued by capital market board
Corporate governance involves a set of relations between company’s management, its board, shareholders and other stakeholders. By establishing the company’s objectives, corporate governance determines the principles on how to reach to these objectives and how to audit their performances. In our country, Capital Market Board determines the Corporate Governance Principles. The principles consist of four main sections namely shareholders, public disclosure and transparency, stakeholders and board of directors. Main rules within the principles are based on “Apply, if you don’t apply, explain” approach. Some of the principles are only recommendations. With respect to non-conformity with these principles, which has the characteristic of recommendations, no disclosure is required. Within the new Turkish Commercial Code no: 6102, there are articles that were regulated directly or indirectly attributable to Corporate Governance Principles. There exist many articles that direct the implementation of Corporate Governance Principles related to the equality, transparency, accountability and social responsibility as well as related to shareholders, the responsibilities of boards and the rights of other stakeholders. In this article, the harmonies of the regulations of Turkish Commercial Code with the regulations of CMB which relate to corporate governance are analyzed.
