BİRLEŞİK KRALLIK ŞİRKETLER HUKUKUNA ÖZGÜ BİR MÜESSESE OLARAK ŞİRKET SEKRETERİ

Avrupa Birliği şirketler hukuku direktiflerine rağmen Birleşik Krallık şirketler hukukuna özgü bir takım müesseseler hâlâ muhafaza edilmektedir. Bunlardan biri olarak şirket sekreterleri gösterilebilir. Kıta Avrupası hukuk sistemlerinde düzenlenmeyen şirket sekreterleri, Birleşik Krallık şirketler hukukunda Comp anies Act 2006 gereği şirketin idaresinde ve temsilinde görev ve yetkilere sahiptir. Bu çalışmada Birleşik Krallık hukuk sistemine özgü bu müessese mukayeseli hukuk açısından incelenecektir.

Although the European Union company law directives, some institutions which are specific to United Kingdom company law are still preserved. One of these can be specified as company secretaries. Company secretaries those are not regulated in Continental European law systems, have duties and authorities on management and representation of companies by the requirement of Companies Act 2006 in United Kingdom company law. In this study, this institution which is specific to United Kingdom law system will be analyzed in the terms of comparative law.
