Bu makalede, Birleşik Krallık tarafından düzenlenen endüstrilerdeki birleşme ve devralmalar incelenecek olup, bu birleşmelere uygulanan de- netim rejimleri ele alınacaktır. Birinci bölümde, düzenlenen endüstriler ile birleşme ve devralmalar hakkında bilgi verilecektir. İkinci bölümde, Birle- şik Krallık’taki birleşme ve devralmalara uygulanan denetim rejimleri in- celenecektir. İkinci bölüm, iki kısımdan oluşmaktadır: “Birleşik Krallık Birleşme Denetim Rejimleri” başlığı altında, Birleşik Krallık tarafından düzenlenen endüstrilerdeki birleşme faaliyetlerine uygulanan birleşme denetim süreci açıklanacaktır. “Avrupa Topluluğu Birleşme Denetim Re- jimleri” başlığı altında ise Avrupa Birliği yönetmeliklerine tâbi olan bir- leşme ve devralmalara uygulanacak olan denetim rejimi ele alınacaktır. Bu makale ayrıca söz konusu birleşme denetim rejimlerini sorgulayarak, eleş- tiri getirmeyi amaçlamaktadır.

Düzenlenen endüstrilerdeki birleşme ve devralmalar

This article will examine the mergers and acquisitions in regulated industries and will analyze merger control regimes in the United Kingdom (UK). Chapter I will provide a brief background on mergers and acquisi- tions and regulated industries. Chapter II consists of two sections. First, 'UK Merger Control Regime' will describe the regular merger control process in the UK regulated industries. Second, 'EC Merger Control Regime' will outline the general procedures of merger controls for merger transactions which are the subject of EU Legislation. This article also aims to question these merger control regimes and criticizes them in cer- tain aspects.
