Günümüzün vazgeçilmez bir enerji kaynakları arasında yer alan doğalgaz tüketimi ülkemizde de hızla yaygınlaşmaktadır. Gelişmiş ülkelere paralel olarak ülkemizde de doğalgaz sektörü serbest rekabet ortamına açılmış1, bu alanda çalışmak isteyen firmalara belirli şartlar altında gaz tedarik etme ve pazarlama hakkı verilmiştir2. Gazın depolanmasındaki aşırı güçlükler sebebiyle piyasa kendisine özgü koşullar geliştirmiştir. Bu koşulların başında müşterilerin asgari gaz alma ile yükümlü tutulması gelmektedir. Asgari alım yükümlülüğü, çoğu sözleşmede bu yükümlülüğün yerine getirilmemesi halinde, yani gaz fiilen öngörülen miktarda çekilmese dahi, gazın parasının ödenmesi yönündeki bir kuralla iç içe yer almaktadır3. Böyle bir durumda söz konusu “al ya da öde (take or pay, ToP)” şeklinde ifade edilebilecek hükmün anlamının ne olduğu tartışma yaratmaktadır. Elinizdeki çalışma, bu konuya ışık tutmayı amaçlamaktadır.

Natural gas is among the today's indispensable energy sources. In Turkey, the natural gas sector, as it is seen in the developed countries, is opened to free market competition. Rights to supply and market of gas under certain circumstances are given to the private sector companies which are eager to invest. Free market has developed its own conditions due to the extreme difficulties of the gas storage. The significant one of these conditions brings an obligation to take agreed minimum quantity of gas to the buyers. Under this type of contract, classically, a buyer is obliged either to take and pay for an agreed minimum quantity of gas or to pay for the difference between the agreed quantity of gas and that actually taken although the buyer does not take that quantity. What is the meaning of the “take or pay” (ToP) provision in these contracts has given rise to debates and this study aims to clarify this issue.
