Tebliğin konusu, yeni Kanuna göre yönetim kurulu üyelerinin bilgi alma ve inceleme hakkıdır. Yeni TTK’da, muhatapları farklı olan çeşitli bilgi alma hakları düzenlenmektedir. Bunlardan biri bireysel olarak YK üyelerine tanınan kapsamlı şekilde bilgi alma ve inceleme hakkıdır(m. 392). Bu hak toplantı esnasında sınırsız; toplantı dışında ise sınırlı olarak kullanılabilir.

The subj ect matter of this paper is right to inf ormation and oversight of the members of board of directors. Several rights to inf ormation whose subj ects are diff erent have been arranged in the new Turkish Commercial Code. One of them is right to obtain inf ormation and oversight which are given to each member of board of directors personally (article 392). It can be exercised limitlessly during the meetings of board of directors and f initely bef ore and af ter meetings.
