SERMAYE ŞİRKETLERİNDE YÖNETİCİ VE MÜDÜRLERİN SORUMLULUĞU SİGORTASI (D&O SİGORTASI ) VE TARAFLARI

21. yüzyıla damgasını vuran şirket türlerinin sermaye şirketleri olduğu hususunda kuşkusuz şüphe yoktur. Sermaye şirketleri vasıtasıyla büyük yatırımlara imza atılmış, dev projelerin gerçekleştirilmesi mümkün hale getirilmiştir. Bununla birlikte bu şirketlerin yöneticileri ve müdürleri büyük sermayeleri kontrol etmeye başlamıştır. Yönetici ve müdürler bu kontrol sürecinde bazen ihmallerle bazen de kasıtlı olarak şirkete, pay sahiplerine ve şirket alacaklılarının zarara uğramalarına neden olmuşlardır. İşte uğranılmış olan mezkur zararların teminat altına alınabilmesi, yönetici ve müdürlerin görevlerini yerine getirirken rahatlatılmalarının sağlanabilmesi için bir mekanizmaya ihtiyaç duyulmuştur. Bu ihtiyaca cevap veren müessese yönetici ve müdürlerin sorumluluğu sigortasıdır. ( D&O Sigortası )Bu çalışmada yönetici ve müdürlerin sorumluluğu sigortası genel bir çerçevede incelenmiş, mezkur sigortanın çeşitli türleri, bu türlere göre değişen tarafları hem ulusal hem de uluslar arası hukuk çerçevesinde ele alınmıştır.

Directors and Officers Liability Insurance and Related Parties

It is never doubt that corporations have a remarkable position on 21st century. The reason of that is big projects and investments are completed via corporations which have a huge amount of capital. Therefore, directors and officers of such companies started to control huge amount of capital. For this reason, such directors and officers gave damage to the corporation itself, shareholders and creditors by intentional or negligent behaviors and transactions.There was a big necessity to indemnify such damages suffered by corporation itself, shareholders and creditors. Thereby, D&O insurance has been established as a mechanism to cover all these damage risks.This study investigated D&O insurance and its different types and parts within the context of national and international law.
