Son yıllarda yaşanan şirket skandalları ve küresel finansal krizler sonrası, piyasalarda yatırımcı güveni oldukça sarsılmıştır. Bu duruma bir çözüm olarak Şirket üst yönetiminin etkin yönetim ve denetimini sağlayan bir sistem olan kurumsal yönetim kavramı, ülkelerce ve uluslararası kuruluşlarca şirketlere önerilmiştir. Bu bağlamda son yıllarda birçok ülkede, devlet ve özel sektörce kurumsal yönetim kodları ve endeksleri oluşturulmuştur. Dünyada olduğu gibi ülkemizde de SPK ve TÜSGAD önderliğinde kurumsal yönetim kodları çıkarılmış ve İMKB tarafından da İMKB Kurumsal Yönetim Endeksi oluşturulmuştur. Çalışmamızda kurumsal yönetim uygulamalarının şirket performansına olan etkisi Türkiye İMKB Kurumsal Yönetim Endeksi?ne kayıtlı şirketler üzerinde yapılan bir analizle incelenmiştir. Analiz sonucunda kurumsal yönetim uygulamalarıyla performans arasında yüksek dereceli bir ilişkiye ulaşılamamıştır.

Investor confidence mostly eroded after company scandals and global financial crises. Corporate governance concept was offered to companies by governments and international organizations as a receipt for this situation. In this context corporate governance codes and indexes were prepared by state and private sectors in many countries in recent years. In Turkey like other countries, corporate governance codes were prepared at the leadership of SPK and TÜSGAD and also IMKB Corporate Governance Index was prepared by IMKB. In our study effects of corporate governance applications on company performance were analysed on the firms listed in GMKB Corporate Governance Index. At the end of the analysis, a high volumed relationship between corporate governance and performance wasn?t found.
