Yönetim Kurulu Yapısı, İşleyişi ve Performans İlişkisi: Ege Bölgesi Örneği

Yönetim kurulunun yapısı ve sürecinin yönetim kurulu performansı ve işletme performansı üzerine etkisi son zamanlarda araştırmacıların yoğun ilgisini çekmiştir. Bu çalışma ile Ege Bölgesinde yer alan işletmelerin yönetim kurulu yapısı, süreci ve performans ilişkisi araştırılmaktadır. Bu bağlamda, 185 adet işletmenin yönetim kurulu üyelerine anket uygulanmıştır. Araştırma bulgularına göre, icrada olan yönetim kurulu üye sayısı ile yönetim kurulunun denetim rolü arasında bir ilişki bulunamamıştır. Bununla birlikte yönetim kurulu üye sayısının, yönetim kurulu ve işletme performansı üzerinde herhangi bir etkisi tespit edilmemiştir. Bağımsız yönetim kurulu üye sayısı ile hem yönetim kurulu performansı hem de işletme performansı arasında da anlamlı bir ilişkiye rastlanmamıştır. Sonuçlar, Genel Müdür (Üst Düzey Yönetici) - Yönetim Kurulu Başkanlığı İkileminden yönetim kuru-lu işleyişlerinin (süreçlerinin) olumsuz etkilenmediğini göstermektedir. Son olarak, yönetim kurulu süreci ile yönetim kurulu performansı arasında pozitif ve anlamlı ilişki bulunmuştur.

The Relationship Between Board Structure, Process And Performance: Evidence From Aegean Region)

The impact of board structure and process on board performance and company performance has recently preoccupied the minds of researchers. In this study, the relationship between board structure, process and performance of firms in Aegean Region is investigated. In this context, questionnaire is applied to board members of 185 firms. According to findings, the relationship between the number of executive directors and monitoring role of board is not found. Moreover, there is no impact of the number of board members on board and firm performance. Also, it is not found any significant relationship between the number of independent board members and both board performance and firm performance.The result of study shows that board process isn’t affected negatively by CEO–chairman duality. Consequently, it is found that there is a positive and significant relationship between board process and board performance.
