CEO İKİLİĞİ (DUALITY) ve YÖNETİM KURULU BÜYÜKLÜĞÜNÜN SERMAYE YAPISI KARARLARINA ETKİSİ

Kurumsal yönetimin dört temel unsurundan biri olan yönetim kurulu, üst düzey karar alma, yürütme ve temsil organı olarak şirketi, uzun vadede hissedarlarına fayda sağlamak amacıyla aktif bir şekilde yönlendirmektedir. Bu bağlamda yönetim kurulu, bu esas görevine ilave olarak şirketin müşterilerine, çalışanlarına, tedarikçilerine ve toplumdaki diğer çıkar sahiplerine, başka bir deyişle bütün paydaşlarına karşı sorumluluk taşımaktadır. Finansal risk ve performans açısından önem arz eden sermaye yapısı, bankaların yönetim kurullarının aldığı kararlar doğrultusunda belirlenmektedir. Çalışmada, hisse senetleri Borsa İstanbulda işlem gören 16 bankanın 2010-2014 yılları arasındaki yönetim kurulu yapılarının, sermaye yapısı kararlarına olan etkisi incelenmiştir. Yönetim kurulu yapısı; yönetim kurulu büyüklüğü ve yönetim kurulu başkanı ile genel müdürün aynı kişi olması (duality-ikilik) değişkenleri ile; sermaye yapısı ise borç/toplam aktif oranı kullanılarak doğrusal regresyon yöntemi ile analiz edilmiştir. Analiz sonucunda bankaların yönetim kurulu büyüklüğünün ve ikilik durumunun sermaye yapısı kararlarını pozitif yönde etkilediği tespit edilmiştir.

EFFECT OF CEO DUALITY AND BOARD SIZE ON CAPITAL STRUCTURE DECISIONS

The board of directors, one of the four basic elements of corporate management leads the company as its high level decision-making, executive and representative body in order to provide returns for its shareholders in the long term. Therefore, the board of directors has responsibility towards its customers, employees, suppliers and other interest owners in the society in addition to this main task, in other words, it a responsibility towards all stakeholders. Having importance in terms of financial risk and performance, the capital structure is defined in direction with decisions taken by board of directors of banks. In this study, the effect of capital structure on the structure of board of directors in 16 banks traded on the Istanbul Stock Exchange in years 2010-2014 was examined. The board structure was examined with variables such as the board size and the same person appointed as the president of board and general manager; the capital structure was examined with the linear regression method by using the debt/total assets ratio. As a result of analysis, it was found that the size of banks' board of directors and duality has affected positively the decisions of capital structure.
