BANKA SATIN ALMALARININ HEDEF BANKALARIN PERFORMANSINA OLAN ETKİLERİ: TÜRK BANKACILIK SEKTÖRÜ ÜZERİNDE AMPİRİK BİR ÇALIŞMA

Satın alma, işletmelerin büyümeyi sağlamak, yeni ürün pazarlarına girmede rekabet avantajı kazanmak, pazar ve ürün geliştirmek, riski azaltmak gibi çeşitli stratejik hedeflere ulaşabilmek için kullandıkları bir dışsal büyüme yoludur. Tüm dünyada işletmelerin son zamanlarda yaygın olarak gerçekleştirdikleri satın almaların satın alınan ve satın alan şirket performanslarını nasıl etkilediği herkesin ilgisini çeken bir inceleme ve analiz konusu olmuştur. Tüm dünyada olduğu gibi Türkiye ’de de fınans sektörü başta olmak üzere çeşitli sektörlerde satın almalar gerçekleştirilmektedir. Bu çalışmada, Türkiye ’de 2005 ve 2006 yıllarında satın alınan bankaların performanslarının ne yönde etkilendiğinin tespiti amaçlanmıştır. Ayrıca, bu araştırmada satın alınan bankaların yanında satın alınmayan bankaların performansları da gözlemlenerek satın alınan ve satın alınmayan bankaların performans değişim farklarının belirlenmesi sağlanacaktır. Çalışmada, parametrik olmayan bir yaklaşım olan veri zarflama analizi kullanılmıştır. 2002-2008 döneminde sürekli faaliyet gösteren satın alınan ve satın alınmayan tüm bankalar, yatırım ve kalkınma, katılım bankaları hariç, analiz kapsamına alınmıştır. Araştırma modelinde girdi olarak, personel sayısı, faiz giderleri, faiz dışı giderler ve toplam mevduat, çıktı olarak ise toplam krediler, faiz gelirleri ve faiz dışı gelirler kullanılmıştır. Analiz sonucunda, satın alınan bankalarda belirgin bir etkinlik artışı tespit edilememiştir. Satın alınan on adet bankanın yedisinin etkinlik değişim yüzdesinin negatif olduğu saptanmıştır. Satın alınan ve satın alınmayan bankaların etkinlik değerleri incelendiğinde satın alma öncesi, süreci ve sonrasında satın alınmayan bankaların etkinlik ortalamalarının satın alınan bankalara göre daha yüksek olduğu belirlenmiştir. Son olarak, satın alınan bankalarda ölçek etkinsizliğinin söz konusu olduğu, bu durumun da toplam etkinlik değerlerini olumsuz etkilediği tespit edilmiştir.

THE EFFECTS OF BANK ACQUISITIONS ON THE PERFORMANCE OF TARGET BANKS: AN EMPIRICAL STUDY ON TURKISH BANKING SECTOR

In today’s globalized world, corporations should pursue the developments and changes not only in their environments but also through the world. To take a position as a change and development leadership, corporations should pursue all the improvements. To react to the developments and changes corporations should have enough force which can be gained by internal and external ways. One of the external ways that can be used by corporations is mergers and acquisitions. Acquisitions are the strategies that are used by the companies to maintain growth and expansion, to gain competitive advantage for entering new product markets, to develop market and product, to minimize risk and so on. How those acquisitions, that are used in all over the world by the firms in recent years, affect the performance of buyer and target firms become a research and analysis subject that make everyone interested in. Also, in Turkey like the world, acquisitions take place in especially financial sector and all other sectors. Ten commercial banks are sold in the years 2005 and 2006 to foreign banks. The aim of that study to assess how the acquisitions affect the performance of those target banks that are acquired in the years 2005 and 2006 in Turkey. Additionally in that research, non-acquired banks’ performance will also be analyzed that maintain to see the differences of performance changes of acquired and non-acquired banks. To explore the impact of acquisitions on corporate performance a non-parametric approach, data envelopment analysis (DEA) is employed in that study. Data envelopment analysis, is a method that can measure the efficiency of decision making units and capable of handling multiple inputs and outputs. All the banks that constantly operated in the years between 2002 and 2008, excluding investment and development, participation banks, get into the analysis. So there are four groups of banks in the research, those are state-owned deposit banks, privately-owned deposit banks, foreign banks founded in Turkey, and foreign banks having branches in Turkey. In the research model, number of employees, interest expenses, non-interest expenses and total deposit are determined as input, total credits, interest revenue and non-interest revenue are determined as output. According to the results, there is not significant improvement in the performance of target banks. There is an average of %2,5 efficiency increase in the banks’ performance after the acquisition activity with respect to before acquisition. There is not any acquired bank that operates effectively in the whole research period instead of Akbank. And, there is not specific change in the amount of effective banks after the acquisition period. Percentages of efficiency changes are appointed as negative for seven of ten banks that are acquired. Another result that is determined by the analysis show that efficiency averages of non-acquired banks are higher than the acquired banks pre, during and after the acquisition period. Overall, technical and scale efficiencies of the banks are also determined in that study. Outputs of the analysis point out that the acquired banks experience scale inefficieny, so that situation affect negatively the overall efficiencies. There is a scale inefficiency problem in the banks. So, as the banks are acquired, that maintain technical efficiency improvement, but as the scale efficiency decrease, that neutralize the increase in the technical efficiency and as a result, overall efficiency also decrease.
